Terms of Service
The terms that govern your use of Niel Customs AI.

1. Acceptance of terms
By accessing or using Niel Customs AI (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to accept these terms for that organization.
2. Description of the service
Niel Customs AI is an AI Customs and Trade Compliance Operating Platform for U.S. importers and customs brokers.
The Service assists with customs entry preparation and AI-assisted document processing. It does not itself file or transmit entries to U.S. Customs and Border Protection (CBP). Any filing with CBP is performed by a licensed customs broker.
The Service does not provide legal advice, and using it does not create an attorney-client relationship. AI output is preliminary and must be confirmed by a licensed customs broker before it is relied upon.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorized use of your account.
4. Subscription and billing
Paid plans are billed according to the pricing and billing terms presented at purchase.
Unless otherwise stated, fees are non-refundable except as required by law. Subscriptions may renew automatically until canceled.
We may change pricing on a prospective basis with reasonable notice.
5. Acceptable use
You agree not to misuse the Service, including by attempting to disrupt it, gain unauthorized access, reverse-engineer it, or use it for unlawful purposes.
You are responsible for the accuracy and legality of the data and documents you submit.
You agree not to use the Service to violate U.S. export controls, sanctions, or other applicable trade laws.
6. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
AI-generated HTS classifications, duty amounts, landed-cost figures, and compliance or screening flags are estimates and preliminary recommendations only. They may contain errors and must be confirmed by a licensed customs broker before you rely on them.
Screening is performed against public denied-party lists and is not a definitive OFAC or sanctions determination.
We do not guarantee that use of the Service will result in any particular customs, duty, or compliance outcome.
7. Limitation of liability
To the maximum extent permitted by law, Niel Customs AI and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data.
To the maximum extent permitted by law, our total liability arising out of or relating to the Service will not exceed the amount you paid for the Service in the twelve months preceding the claim.
8. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these terms or if necessary to protect the Service or other users.
Provisions that by their nature should survive termination will survive, including disclaimers and limitation of liability.
9. Governing law
These terms are governed by the laws of the State of [TODO: governing-law jurisdiction], without regard to conflict-of-laws principles.
Any disputes will be resolved in the courts located in [TODO: venue], unless otherwise required by applicable law.
